LEGAL
ORGFORMAT TERMS OF USE
1. These Terms
These Terms of Use (the “Terms”) govern your access to and use of the ORGFORMAT website, the ORGFORMAT Studio web application (“Studio”), the ORGF data format, and related ORGFORMAT materials.
The project is operated by Ivan V. Kravchenko, an individual and citizen of the Russian Federation (the “Rightsholder”, “we”, “us”, or “our”).
By accessing or using the website or Studio, you agree to these Terms. If you use them on behalf of an organisation, you confirm that you have authority to bind that organisation.
ORGFORMAT is the name of the project and brand. ORGF is the name of the data format. Studio means the ORGFORMAT Studio web application.
2. Studio Licence
Studio is a browser-based tool for creating, viewing, editing, importing, and exporting organisational models.
Subject to these Terms, we grant you a limited, worldwide, non-exclusive, non-transferable, non-sublicensable, and free-of-charge licence to use the publicly available web version of Studio for personal and commercial purposes.
This licence does not permit you to:
- copy, reproduce, distribute, sell, rent, sublicense, white-label, or provide Studio as a standalone service;
- reverse engineer, decompile, disassemble, extract, publish, or otherwise use Studio’s source code, or create modified or derivative versions of Studio;
- circumvent technical restrictions or security measures; or
- deploy Studio in a separate local, corporate, hosted, or on-premise environment without a separate written agreement with the Rightsholder.
These restrictions do not apply where applicable law expressly gives you a non-waivable right to take the relevant action.
3. Your Models and Data
You retain all rights in the models, .orgf files, and other data you create, import, or edit with Studio, or that belong to your licensors.
Using Studio does not transfer any rights in your models or their contents to the Rightsholder. In the current public web version, .orgf files are processed in your browser. Studio does not provide the Rightsholder with access to the content of those files through its normal functionality.
You are responsible for ensuring that you have the necessary rights to use your data, for keeping appropriate backups, and for reviewing outputs before relying on them for management, financial, employment, technical, legal, or other material decisions.
Our handling of personal data in connection with the website or support communications is described in the ORGFORMAT Privacy Policy.
4. ORGF, Open Materials, and Brand Assets
The ORGF specification, validation schemas, technical examples, and other materials that are expressly marked as licensed under the MIT License are available under that licence. The MIT License governs your use of those particular materials.
Unless a material is expressly identified as MIT-licensed or otherwise openly licensed, all rights in it are reserved by the Rightsholder or the relevant rightsholder.
An open licence for an ORGF technical material does not grant a licence to use the names ORGFORMAT or ORGF, the logo, graphical symbol, visual identity, or Studio interface as branding for your own product or service.
You may make truthful, non-misleading references to ORGF solely to describe support for or compatibility with the format, provided that the reference does not imply endorsement by, affiliation with, or origin from ORGFORMAT.
Demo models, templates, images, texts, and other content materials are subject to the licence or notice displayed with the relevant material.
5. Acceptable Use
You must use the website, Studio, and ORGFORMAT materials lawfully and in good faith. You must not:
- infringe intellectual-property, privacy, confidentiality, or other rights of others;
- interfere with the website or Studio, or impose an unreasonable technical load on them;
- distribute malware, attempt unauthorised access, or bypass access controls; or
- use ORGFORMAT materials in a way that misleads others about the origin of a product or an official connection with ORGFORMAT.
6. Availability and Responsibility
The website and Studio are provided on an “as is” and “as available” basis. We may update, modify, limit, suspend, or discontinue features where reasonably necessary for development, security, maintenance, or legal compliance.
We do not promise uninterrupted or error-free availability, or that Studio will be suitable for every particular purpose. You remain responsible for deciding whether an output is suitable for your use.
To the maximum extent permitted by applicable law, the Rightsholder is not liable for indirect, incidental, special, consequential, or punitive losses, including loss of data, profits, business opportunity, or goodwill arising from use of, or inability to use, the website or Studio.
Nothing in these Terms excludes or limits liability, consumer rights, or statutory guarantees that cannot lawfully be excluded or limited.
7. Changes, Other Agreements, and Law
We may update these Terms from time to time. Material changes will be announced through the website or Studio and will normally take effect no earlier than 14 days after publication. Changes needed for security, legal compliance, or to prevent misuse may take effect sooner.
If you do not agree with an updated version, you must stop using the website and Studio after its effective date. Continued use after that date constitutes acceptance where permitted by applicable law.
Separate terms may apply to future paid products, enterprise arrangements, on-premise deployments, cloud services, or other specialised offerings. Those separate terms prevail for the relevant product or arrangement.
These Terms are governed by the laws of the Russian Federation, without regard to conflict-of-law rules. This choice does not deprive a consumer of mandatory protections granted by the law of the consumer’s habitual residence. Any dispute must be brought before the court or other forum that has jurisdiction under applicable mandatory law.
Unless mandatory law requires otherwise, the English version of these Terms controls. If any provision is unenforceable, the remaining provisions remain in effect.
